This Agreement outlines the terms for using Pagaia Studio's website and related services. It is a legal contract between Pagaia Studio SRL and the user or client, whether an individual or a legal entity. By accessing the website or engaging our services, you agree to these terms in full.

1. Copyright & Ownership

Pagaia Studio's Property. The website pagaia.studio and all its content - including source code, databases, designs, audio, video, text, images, and graphics - together with all trademarks and the Pagaia Studio™ mark, are the exclusive property of Pagaia Studio SRL and are protected by applicable intellectual property laws.

Restricted Use. Content on this website is provided for informational purposes only. Any copying, reproduction, distribution, or commercial use requires Pagaia Studio's explicit prior written consent.

Rights Reserved. Pagaia Studio retains all rights to the website and its content not expressly granted in these Terms.

2. Client Rights to Project Materials

Client Ownership. All final designs and original source files created specifically for a client project ("Project") are the client's property upon full payment. The client holds full copyright to these deliverables.

Transfer of Ownership. If any circumstance causes Pagaia Studio to hold ownership of a Project, Pagaia Studio will transfer all rights back to the client without restriction upon full settlement of outstanding fees.

Client Warranties. The client guarantees that all materials, assets, and content provided for their Project are their own property or properly licensed, and do not infringe any third-party intellectual property, publicity, or privacy rights. The client assumes full liability for any claims arising from materials they supply.

Portfolio Rights. Pagaia Studio retains the right to showcase completed work publicly - on its website, social media, or portfolio materials - unless otherwise agreed in writing or an NDA is in place (see Section 14).

3. Font Licensing

Where a Project incorporates third-party fonts that require a commercial licence, Pagaia Studio will notify the client in writing, specifying the licence required and where it can be obtained.

It is the client's responsibility to acquire and maintain the appropriate font licences for their use, reproduction, or distribution of the Project. Once notified, the client assumes full liability for any legal consequences arising from failure to obtain the required licences. Pagaia Studio is not responsible for ongoing compliance with third-party font licensing terms.

4. User Conduct

By using this website, you confirm that you have the legal capacity to agree to these Terms and that you will use the website in compliance with all applicable laws and regulations. You agree not to use the website for any unlawful or unauthorised purpose, and not to access or interact with it through automated means without prior written consent from Pagaia Studio.

5. Restrictions on Site Use

You agree not to engage in any of the following:

Using the website for any purpose other than its intended use
Scraping, harvesting, or collecting data or content from the website to build databases or datasets
Tampering with or circumventing any security feature of the website
Unauthorised framing, linking, or mirroring of the website
Attempting to reverse engineer any part of the website's code or functionality
Transmitting viruses, malware, or other harmful or disruptive code
Overloading, burdening, or impairing Pagaia Studio's servers or infrastructure
Harassing, threatening, or intimidating Pagaia Studio's staff or collaborators
Removing, altering, or obscuring any copyright or proprietary notices
Using the website in a way that violates applicable law or regulation

6. Client Contributions & Feedback

Any unsolicited feedback, suggestions, or ideas submitted to Pagaia Studio may be used freely by Pagaia Studio without obligation, compensation, or restriction - unless those materials are subject to client project ownership rights under Section 2.

By submitting feedback, you waive any claim to compensation or attribution for its use.

7. Site Management

Pagaia Studio reserves the right to monitor use of the website for violations of these Terms and to take appropriate action in response, including restricting or terminating access without prior notice or liability. Pagaia Studio may also remove or disable any content that violates these Terms at its sole discretion.

8. Data Privacy

By using this website, you agree to Pagaia Studio's Privacy Policy, which is incorporated into these Terms by reference.

Pagaia Studio SRL is established in Romania and operates in compliance with Regulation (EU) 2016/679 (GDPR) and Romanian data protection legislation (Law No. 190/2018). Personal data collected through this website is processed as described in the Privacy Policy. Users accessing this website from outside the European Economic Area should be aware that their data may be processed within the EEA.

Pagaia Studio does not knowingly collect personal data from individuals under the age of 16. If such data is identified, it will be deleted promptly.

9. Payments & Refunds

Payment Terms. Payment terms are defined in each individual services contract or proposal. Pagaia Studio reserves the right to pause or suspend work on a project where payment is overdue.

Refund Policy. Refund requests are assessed on a case-by-case basis at Pagaia Studio's discretion. As a general rule:

Work already completed and delivered is non-refundable
Where a project is cancelled before completion, fees are due for all work performed up to the cancellation date
Any approved refund may be subject to an administrative fee, communicated at the time of assessment
If a refund is granted before any deliverable has been provided, all materials produced by Pagaia Studio remain its property and may not be used by the client in any form

Pagaia Studio reserves the right to take appropriate legal action for breach of payment obligations.

10. Site Modifications

Pagaia Studio reserves the right to modify, update, or discontinue any part of the website at any time - including content, structure, and functionality - at its sole discretion and without obligation to notify users. Pagaia Studio assumes no liability for the impact such changes may have on users.

11. Service Interruptions

Pagaia Studio does not guarantee uninterrupted or error-free access to the website. Interruptions may occur due to maintenance, technical failures, or circumstances beyond our control. Pagaia Studio accepts no liability for inconvenience, loss, or damage arising from such interruptions.

12. Disclaimer

The website and its content are provided on an "as is" and "as available" basis. Pagaia Studio makes no representations or warranties, express or implied, regarding the accuracy, completeness, or fitness for purpose of any content on the website.

Pagaia Studio is not liable for any errors or inaccuracies in website content, any personal injury or property damage resulting from use of the website, any unauthorised access to or use of Pagaia Studio's servers, or any interruption or cessation of transmission to or from the website.

Links to third-party websites are provided for convenience only. Pagaia Studio does not endorse and assumes no responsibility for the content, products, or services of third-party sites.

13. Limitation of Liability & Indemnification

To the fullest extent permitted by applicable Romanian law, Pagaia Studio's total liability to any client or user - whether in contract, tort, or otherwise - shall not exceed the total fees paid by that client to Pagaia Studio in the twelve (12) months preceding the event giving rise to the claim.

Pagaia Studio is not liable for any indirect, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunity.

The client agrees to indemnify and hold harmless Pagaia Studio SRL, its administrator, and any engaged collaborators against any claims, damages, or costs (including legal fees) arising from: the client's use of the website or services; the client's breach of these Terms; the client's misrepresentation; or infringement of third-party rights through materials supplied by the client.

14. Showcasing Work

Pagaia Studio may showcase completed client work on its website, social media, and portfolio materials - including project descriptions, screenshots, and case studies - unless a separate written agreement restricts this.

Clients who require confidentiality may enter into a Non-Disclosure Agreement (NDA) with Pagaia Studio. If a valid NDA is in place, Pagaia Studio will not publicly share, describe, or discuss the relevant work for the duration specified in that agreement.

15. Electronic Communication

By using the website or engaging Pagaia Studio's services, you agree to receive communications electronically, including via email or through the website. You acknowledge that electronic communications satisfy any legal requirement for written communication.

You consent to the use of electronic contracts, signatures, and records for transactions with Pagaia Studio, including proposals, agreements, invoices, and policy documents.

16. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Romania, including applicable EU regulations. Any dispute arising out of or in connection with these Terms that cannot be resolved amicably within 30 days shall be submitted to the exclusive jurisdiction of the competent courts of Bucharest, Romania.

17. Miscellaneous

These Terms, together with Pagaia Studio's Privacy Policy and any executed services contract, constitute the entire agreement between the parties regarding use of the website and services, and supersede all prior agreements on those subjects.

Pagaia Studio's failure to enforce any provision of these Terms does not constitute a waiver of its right to do so in the future. If any provision is found invalid or unenforceable by a competent court, it will be removed without affecting the validity of the remaining provisions.

These Terms do not create any partnership, employment, agency, or joint venture relationship between the client and Pagaia Studio.
